About These Terms

These Terms of Engagement govern the professional relationship between EQ Group (ABN 40 981 461 793), operating from West End, Brisbane, Queensland, Australia and any individual, company, or organisation engaging EQ Group for consulting services.

By accepting a Scope of Work or written confirmation of engagement from EQ Group, you agree to be bound by these Terms.

Our Services

EQ Group provides business consulting services including:

  • EQ Baseline — market position analysis, operational audits, ROI baseline modelling, and compliance gap assessments
  • EQ Blueprint — Business Requirements Specification documentation, user journey mapping, and technical architecture guidance
  • EQ Signal — proof-of-concept prototype design, investor presentation packages, and tender preparation
  • EQ Research · RAAS — standalone research commissions and ongoing intelligence subscriptions
  • Strategic advisory, workshop facilitation, and related consulting services as agreed in writing

Scope of Work and Variations

All work is performed within the scope agreed in the executed SOW. If the Client requests work outside the agreed scope, EQ Group will provide a variation proposal in writing prior to commencing any additional work.

Changes to scope that affect agreed timelines or deliverables will require a revised SOW signed by both parties before work proceeds.

Fees, Payment, and Invoicing

Unless otherwise agreed in writing:

  • A deposit of 50% of the total engagement fee is required prior to commencement
  • The remaining balance is invoiced on delivery of the final agreed deliverable
  • Invoices are payable within 14 days of the invoice date
  • All fees are quoted in AUD and exclusive of GST, which will be added where applicable
  • EQ Group is registered for GST. ABN: 40 981 461 793

Overdue invoices attract interest at 10% per annum. EQ Group reserves the right to suspend work where invoices are more than 14 days overdue.

Intellectual Property

Deliverables: Upon receipt of full payment, EQ Group assigns to the Client all IP rights in the specific deliverables produced under the relevant SOW. This excludes EQ Group's underlying methodologies, frameworks, and tools.

EQ Group methodologies: All proprietary methodologies, frameworks, and tools developed or used by EQ Group remain our exclusive intellectual property. These are licensed to the Client for internal use only.

Prototypes produced by EQ Group may be freely used, modified, and commercialised by the Client upon full payment. EQ Group retains the right to reference the engagement in its portfolio unless the Client requests otherwise in writing.

Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party in connection with the engagement. This obligation continues for three years following conclusion of the engagement.

EQ Group will not disclose the existence, content, or findings of any engagement to third parties without the Client's prior written consent, except where required by law.

Limitation of Liability

To the maximum extent permitted by law, EQ Group's total liability to the Client for any claim is limited to the total fees paid under the relevant SOW. EQ Group is not liable for indirect, consequential, or punitive loss.

Nothing in these Terms excludes any right or remedy that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

Termination

Either party may terminate an engagement by providing 14 days written notice. The Client will pay EQ Group for all work completed to the date of termination, calculated on a pro-rata basis.

The deposit is non-refundable unless EQ Group terminates the engagement without cause.

Governing Law

These Terms are governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland.
